1.1 The #ShareThyme: The Competition is run by ShareThyme (the “Promoter”) which is a project owned by the London based company Red Badger Limited. The Competition offers individual contestants living in the UK the chance to win a one off baking session with the former The Great British Bake Off candidates Val Stones and Selasi Gbormittah. Contestants take part in the Competition by filling out a form on sharethyme.com ShareThyme (the “Promoter”) invites individuals to participate in the #ShareThyme socials across Twitter, Instagram or Facebook to raise awareness for the platform and help bring more people together through cooking.
1.2 By entering the Competition, you agree to be bound by these terms and conditions (the "Terms and Conditions"). Promotional materials relating to the Competition also form part of these Terms and Conditions. In the event of any conflict between such promotional materials and these Terms and Conditions, these Terms and Conditions take precedence.
1.3 Red Badger Ltd registered address is 2 Old Street Yard, 4th Floor, London, EC1Y 8AF.
02 PARTICIPATION AND SUBMISSION OF ENTRIES
2.1 The Competition is open to individuals with their registered address being in the UK aged 18 and over (each “you”, “your”), subject to paragraph 2, below. Joint Entries (defined below) are not permitted – Entries must be submitted by an individual or individual legal entity.
2.2 Two winners will be picked by random selection, with each participant having the option to bring a plus-one.
2.3 The Competition is not open to:
- Employees of Red Badger Ltd and their close relatives and anyone otherwise connected with the organisation;
- Anyone involved in judging the Competition;
- Immediate family, friends and or household members of the individuals referred to in this section 1.1
2.4 To enter the Competition, you must complete an entry form (the "Entry" or “Entries”) which is available via the website https://sharethyme.co.uk/. The Entry must contain the following information:
- First name, last name, age, email, phone number
- A brief description about yourself and why you want to take part in this challenge.
- Acknowledgement and acceptance of these Terms and Conditions.
2.5 Entries may be submitted from 4th September 2019 and must be received no later than 15:00 BST on 20th September 2019 (the "Entry Period"). Entries received after the closing of the Entry Period shall not be considered. The Promoter’s servers and clock will be deemed the official clock for the Competition and your proof of submission does not constitute proof of Promoter’s receipt.
2.6 You may submit only one Entry for the Competition. Upon submission, Entries may not be revised or amended. If your entry is successful, you have the option of bringing a plus one, whose details we will request after confirmation of your entry success.
2.7 Incomplete, illegible, damaged and/or fraudulent Entries shall not be considered.
2.8 All Entries that violate any third party intellectual property rights, or national laws, or violate your employer’s policies will be deemed ineligible.
2.9 The Promoter reserves the right to exclude anyone and to refuse any Entry from the Competition at any time, for any reason, without prior notice and without incurring any liability to the fullest extent permissible by law.
2.10 There is no entry fee and no purchase necessary to enter this competition.
2.11 You will bear your own costs incurred with respect to the research, development and preparation of your Entry (except where expressly stated otherwise within these Terms and Conditions), as well as any costs relating to your participation in the Competition including but not limited to travelling and reproduction costs.
2.12 Submitted Entries shall not be returned or transferred to any other individual.
3.1 You warrant that:
- All information provided with your Entry is true, complete and accurate;
- Subject to sub-clause (iii) of this Section, your Entry is your own original creation and that you are the sole author and proprietor of the Entry and the information contained therein;
- To the extent that your Entry relies on or is designed to rely on or incorporate intellectual property that does not belong to you, you warrant that you have either obtained all appropriate and necessary licenses, rights and/or consents to use this intellectual property as envisaged by your Entry or that you will obtain such licenses, rights and/or consents if your Entry is selected as a Shortlisted Entry (as defined below). The Promoter may ask you to produce evidence of relevant licenses, rights and/or consents and may seek to verify these.
- Your Entry and the information contained therein does not infringe or misappropriate any third party rights, including but not limited to property and other intellectual property rights, including any patent or trade secret, and complies with all applicable laws, rules and regulations;
- Prior to entering the Competition you have not sold, assigned or otherwise transferred any interest in the Entry to any third party, and/or exploited it anywhere in the world and during the Competition you shall not do any of the foregoing;
- You, and in the event of a participant who is a legal entity, any of its directors, founders or shareholders, is not involved, directly or indirectly, in any illegal activity or any conduct which could have a negative impact on the name and/or reputation of the Promoter and/or the Competition.
3.2 You shall indemnify and hold the Promoter harmless in full and on demand against any loss, cost, damage, injury or expense that it may incur as a result of any breach by you of these Terms and Conditions.
04 SELECTION PROCEDURE
4.1 Selection of the ultimate winners shall take place as follows:
- The deadline to submit Entries is 15:00 BST on 20th September 2019. All qualified Entries will be evaluated between 23rd September 2019 and 26th September 2019. The winners will be announced on 25th September 2019.
4.2 Competition winner selections: The two winners of the competition will be chosen via random selection.
4.3 Competition winners can each bring a single plus-one to the cooking session.
4.4 If you have been asked to develop your Shortlisted Entry or to provide any further information as may be requested by the Promoter then you must respond to such requests 48 hours from the time the request is made (subject to any extension granted by the Promoter). You may forfeit the opportunity to proceed in the Competition if (1) Promoter is unable to contact you within 48 hours of its first attempted notification; (2) you fail to respond as requested within 48 hours of the date of notification.
4.5 Publicity. You shall fully cooperate with and participate in all publicity and promotional activities in respect of this Competition undertaken by the Promoter. Without limitation to the nature of the promotional and publicity activities you may be required to participate in, you agree to the publishing of your name, age, bio and city on the Promoter’s website and any Promoter contractor’s website, and inclusion in press releases and other media coverage (including social media) if selected as a finalist or winner. Acceptance of a Prize constitutes permission for the Promoter and its affiliates, agencies, contractors and designees to use winner’s name, age and bio for advertising and promotional purposes in any and all media now or hereafter devised, worldwide in perpetuity (to the maximum extent permissible under applicable law), without additional compensation notification or permission, unless prohibited by law.
4.6 If selected, you and your plus-one agree to be present at all events associated with the Competition, including but not limited to announcement of the Prizes and the baking session.
4.7 The Promoter reserves rights to disqualify Entries from the Competition and all decisions regarding disqualification shall be at the Promoter's discretion and not subject to appeal.
4.8 All decisions made through the architectural competition are final and binding and cannot be contested or disputed. No correspondence will be entered into by the Promoter or any member of the jury regarding these decisions.
5.1 The winners of the competition and their plus ones will win a 4 hour baking session with the former contestants of The Great British Bake Off, Val Stones and Selasi Gbormittah. The session will take place on the 30th September in central London. This Prize will be made with the assistance and direction of the Promoter.
5.2 The Prize will be awarded provided that a sufficient number of qualified Entries have been received from separate participants. In addition, the Promoter may at its sole discretion cancel, withhold and/or postpone awarding the Prize, if in the opinion of the Promoter, the standard of the Entries can’t be warrant, or for any other reason, without prior notice and without any liability whatsoever. The Prize cannot be transferred or substituted, except by the Promoter, which shall be entitled to substitute the Prize at any time for any reason, without prior notice and without any liability whatsoever.
5.3 The Winners shall have the sole responsibility for payment of any taxes, duties, charges or levies to be paid to any third party in connection with any money (including the Prize) received in connection with the competition.
06 LICENSE RIGHTS AND PERSONAL INFORMATION
6.1 By submitting your Entry, you grant the Promoter, without limitation and without compensation the unconditional, irrevocable, perpetual, worldwide license to photograph, copy, display, publish or otherwise reproduce your Entry in connection with the Competition. You hereby explicitly grant the Promoter to showcase your Entry, if it is a winning Entry, at the Baking session on 30th September 2019 using whatever means required. To that end, you give the Promoter permission to share your personal details, details of your Entry and a copy of your Entry with the Talent agency Vivienne Clore to allow the Talent agency to contact you about your Entry.
6.2 You hereby consent to the inclusion by the Promoter in a database in connection with the Competition, the contents of your Entry and your personal information, including but not limited to your name, age, bio and photograph.
6.3 You shall not engage in any publicity or promotional activities or make any public announcement about your participation in the Competition without the prior written consent of the Promoter.
6.6 You should be guided by your own solicitor as to the desirability of seeking patents or other protection for your Entry. You acknowledge that Promoter or its affiliates may currently or in the future be developing information internally, or receiving information from other parties, that is similar to your Entry (“Promoters Developed Materials”). Nothing in these Terms and Conditions will be construed as a representation or agreement that Promoter or its affiliates will not develop or have developed products, concepts, systems or techniques that are similar to or compete with the products, concepts, systems or techniques contemplated by or embodied in your Entry. To the extent permitted by law, you agree to waive any claims or actions you have in connection with Promoter’s Developed Materials
07 NO LIABILITY
7.1 The Promoter accepts no responsibility for any damage, loss, liabilities (whether direct or indirect, howsoever arising), injury or disappointment incurred or suffered by you as a result of submitting an Entry or accepting any Prize. The Promoter further disclaims any liability for any injury or damage to you or any other person’s property relating to resulting from participation in, or accessing or using any materials in connection with the Competition.
7.2 The Promoter shall not be liable for any damage, loss, liability (whether direct or indirect, howsoever arising), injury or disappointment incurred or suffered by you as a result of the acts or missions of any third party associated with the Competition and/or the prototyping of a winning Entry.
7.3 Nothing in these terms and conditions shall exclude the liability of the Promoter for death, personal injury, fraud or fraudulent misrepresentation as a result of its negligence.
7.4 You shall have the sole responsibility for securing any potential intellectual property rights related to your Entry, such as by applying for a patent or design. The Promoter shall not be liable for any costs incurred or loss, damage, injury, expense or liability suffered by you in relation to any failure to successfully secure any intellectual property rights related to your Entry or Entries as a result of your participation in the Competition.
8.1 The Promoter has the right to cancel or postpone the Competition at any time at its sole discretion without prior notice and without liability whatsoever.
8.2 The Promoter has the right to amend or supplement these Terms and Conditions at its sole discretion at any time before or during the Competition without prior notice.

09 GOVERNING LAW AND JURISDICTION
9.1 The Competition and the Terms and Conditions, and any dispute relating thereto or between you and the Promoter will be governed by the laws of England, without regard to conflict/choice of law principles. You hereby agree that all lawsuits arising out of or in relation to the Competition and/or these Terms and Conditions will be brought in an English court.
